Terms of Service

These Terms of Service ("Terms") govern your access to and use of Adrian — the AI-native software creation operating system — including the Adrian desktop application, the Adrian web services, Adrian Agents, and the adrianlabs.io website (together, the "Service"), operated by Adrian Labs ("Adrian Labs", "we", "us"). By creating an account, joining the beta, or using the Service, you agree to these Terms.

1. The Service

Adrian lets you describe a software outcome in plain language and have autonomous AI agents design, build, debug and secure working software. The Service includes a free desktop application (where AI runs with your own API keys or local models on your hardware) and paid subscription plans that provide access to Adrian-hosted models, metered through a monthly usage allowance ("Adrian Credits").

2. Beta status

Adrian is currently offered as a beta. Features may change, be added or be removed; interruptions and defects are possible. We may limit, suspend or stage access (for example, invite waves) while in beta. Where a paid plan is offered during beta, the paid features you subscribe to will be described at the point of purchase.

3. Accounts and eligibility

  • You must be at least 18 years old, or the age of majority where you live, to purchase a subscription.
  • You are responsible for your account credentials and all activity under your account.
  • You must provide accurate information and keep it current.

4. Subscriptions, billing and Paddle

Paid subscriptions are sold through Paddle.com, which acts as our Merchant of Record. Your purchase — including checkout, invoicing, applicable taxes such as VAT or sales tax, and payment processing — is completed with Paddle under Paddle's Checkout Buyer Terms. Key points:

  • Plans are billed monthly or annually and renew automatically each billing period until cancelled.
  • You can cancel at any time; access continues until the end of the paid period.
  • Prices are shown in USD (or your local equivalent at checkout) and exclude taxes unless stated.
  • Refunds are handled per our Refund Policy and processed by Paddle.

5. Adrian Credits

Paid plans include a monthly allowance of Adrian Credits that meters use of Adrian-hosted models. Credits reset each billing period, do not roll over unless we state otherwise, have no cash value, and cannot be transferred or exchanged. If you exhaust your allowance, hosted features pause until your next period or an upgrade — you are never billed overage automatically.

6. Your content and ownership

You own what you build. As between you and Adrian Labs, all software, designs, code and other output that the Service generates for your projects ("Output") belongs to you, and we assign to you any rights we may hold in that Output. You are responsible for ensuring your use of Output complies with applicable law and third-party rights. We only process your project content to operate the Service, as described in our Privacy Policy.

7. Acceptable use

You agree not to use the Service to:

  • build or distribute malware, or software designed to harm, defraud or unlawfully surveil others;
  • infringe intellectual-property, privacy or other rights of third parties;
  • attempt to bypass usage metering, security controls or plan limits, or resell hosted access without our written consent;
  • violate any applicable law or regulation.

We may suspend or terminate accounts that materially violate these rules.

8. Third-party services and BYOK

The desktop application can operate with API keys you supply ("bring your own key") or with local models on your device. Your use of third-party model providers under your own keys is governed by those providers' terms, and their charges are yours. We do not receive or store your BYOK keys on our servers.

9. Disclaimers

The Service — especially while in beta — is provided "as is" and "as available", without warranties of any kind, express or implied, including fitness for a particular purpose and non-infringement. AI-generated software can contain errors; you are responsible for reviewing and testing Output before relying on it in production or commercial settings.

10. Limitation of liability

To the maximum extent permitted by law, Adrian Labs will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill. Our aggregate liability for claims arising from the Service is limited to the amounts you paid for the Service in the twelve months before the claim (or USD 50 if you have not paid us). Nothing in these Terms limits liability that cannot be limited by law, including your statutory consumer rights.

11. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms with notice where practicable. Sections that by their nature should survive (ownership, disclaimers, liability limits) survive termination.

12. Changes

We may update these Terms as the Service evolves. For material changes we will give notice (for example by email or in-product) before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law

These Terms are governed by the laws of India, without regard to conflict-of-law rules, and disputes are subject to the exclusive jurisdiction of the courts located in India — except that purchases completed with Paddle are additionally governed by Paddle's buyer terms, and nothing in this section deprives you of mandatory consumer protections in your country of residence.
